These terms of service ("Terms") along with the Drive.Space Privacy Policy, the GDPR Privacy Policy and the GDPR Data Processing Addendum constitute an agreement (the "Agreement") between you (“You”) and Drive.Space, its subsidiaries, affiliates and licensors ("We," "Us" or "Drive.Space"). If You reside in the United States, You are entering into this Agreement with Drive.Space Corp., a corporation incorporated under the laws of the State of Texas, U.S.A. If You reside outside of the United States, You are entering into this Agreement with Drive.Space Inc., a corporation incorporated under the laws of the Province of Ontario, Canada.

Please read these Terms carefully before using Drive.Space. By clicking the "Create Account" button or by using the Drive.Space site, software, services or any related features ("Services"), You are agreeing to comply with and be bound by these Terms.

We may change these Terms on a going-forward basis at any time and in our sole discretion. If We make changes to these Terms, We will notify You of the changes. Our notice to You may include sending a message to the email address or text message number You provided to us, or notice through the Service. We will also update the "last modified" date at the bottom of these Terms when We make changes.

If your organization or business has entered into a separate agreement with Drive.Space with respect to the Services (a “Business Agreement”), the terms of such Business Agreement shall govern and control your use of the Services. Your use of the Services will also remain subject to these Terms. In the event of any conflict or inconsistency between the Business Agreement and these Terms, the terms of the Business Agreement will prevail to the extent of such conflict or inconsistency.

If You are using any Services on behalf of an organization or business that has not entered into a Business Agreement, you represent and warrant that (a) You agree to these Terms on behalf of the organization or business you represent, (b) You have full legal authority to bind such organization or business to these Terms, and (c) You have read and understand these Terms. When You use the Services on behalf of an organization or company, the term “You” refers to the organization or business.

You must be 13 years of age or older to register and use the Services. You certify that You are 18 years old or, if You are between the ages of 13 and 18, that You are using the Service with the supervision of Your parent or legal guardian who agrees to be bound by these Terms.

You may use the Services only in compliance with the Terms. Any other use is not authorized. The Services may change over time as we improve our Services. We may stop, suspend, or modify the Services at any time without prior notice to You. We may also remove any content from our Services at our discretion.

If You do not agree to these Terms, then please do not subscribe and do not use the Services.

YOUR ACCOUNT AND SECURITY

You must register with Drive.Space to use the Services. When You register, You will be asked to create an account ("Your Account"). You agree to provide Drive.Space with accurate and complete information when You create Your Account ("Account Information"). You also agree to update Your Account Information promptly should Your information change.

When You create Your Account, You will be asked to choose a username and password. You will use this username and password to access the Services and any data associated with Your Account or that You store with Drive.Space ("Your Data").

You are solely responsible for protecting the privacy and security of Your username and password, including not sharing or transferring them to any third party. You are responsible for any activity using Your Account, whether You authorized that activity or not. If You lose Your username or password, You may not be able to access Your Account or any of Your Data.

If Drive.Space determines that there has been a breach of Your Account security, Drive.Space reserves the right to suspend Your Account and require You to create a new username and/or password. Drive.Space is not liable for any loss or damage arising from any access to, or sharing and use of Your Account as a result of your actions or omissions. You agree that You will notify Drive.Space via a support request at https://www.drive.space/contacthelp/ if Your Account is accessed or used without Your authorization, or if You have reason to believe that Your Account, username or password has been compromised.

LICENSE

Drive.Space grants You a limited, non-exclusive, non-transferable and revocable license to use the Services subject to these Terms. You are licensed to make one copy of the software required to interface with the Services on each device, as reflected in the then-current documentation for Your Account.

Certain third party code may be provided with Drive.Space’s software and the license terms accompanying that code will govern its use.

Drive.Space or third parties own all right, title and interest in and to the Services, any software or documentation used therein, and any content featured or displayed on the Service (“Content”), provided, however, that this does not apply to the files, content or documents you store or share via our cloud services. Drive.Space and its licensors retain all other rights in the Services.

You may not copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any Content. You may not remove any copyright, trademark, or other proprietary notice from any material found on the Service.

All trademarks, service marks and trade names of Drive.Space used in the Service or the Content (including but not limited to the Drive.Space name, logo, and any related marks) are trademarks or registered trademarks of Drive.Space or its affiliates. You may not use these Marks in any way without Our prior written consent.

YOUR USE OF THE SERVICES ("GOLDEN RULES")

You agree that You will not do any of the following when using the Services:

Harm, disrupt or interfere with the operation of the Services or network.

Provide false information about Your identity or impersonate another user.

Use the Services to store or distribute illegal files or malware.

Attempt to breach security, access unauthorized areas, or overload the network.

Use automated tools to scrape or collect information.

Impersonate or harass others.

Infringe intellectual property rights.

Publish or share indecent or illegal material.

Use the Service to train AI, neural networks, or similar technologies.

Engage in any illegal or prohibited activity.

Drive.Space may suspend or terminate Your Account if You or anyone using it violates these rules.

YOUR DATA

You own Your Data. You are solely responsible for maintaining and protecting it. Drive.Space shall not be liable for any loss or corruption of Your Data, Drive.Space shall provide data retention and backups of all user data. Drive.Space is not responsible for user-corrupted data or data deleted intentionally or by not following standard data use practices.

DATA SHARING

Drive.Space allows You to share Your Data with others. By doing so, You acknowledge that others may copy, distribute, modify, or misuse Your Data. Drive.Space has no responsibility for the actions of others with whom You share Your Data.

INTELLECTUAL PROPERTY PROTECTION

You may not upload or share material that infringes any intellectual property rights. Drive.Space may delete or disable any infringing Data and may suspend or terminate Your Account for violations.

NOTIFICATION

If You give us Your email address or phone number, We may send You notifications via email or SMS (text message). Data or messaging rates may apply.

COMPLIANCE WITH APPLICABLE LAWS

You are responsible for ensuring that Your use of the Services complies with all applicable laws.

USER INDEMNITY

You agree to defend, indemnify, and hold harmless Drive.Space, its affiliates, and partners from any claim or demand arising from Your use of the Services, violation of these Terms, or violation of any third party rights or laws.

TERM AND TERMINATION

You can terminate Your Account at any time. Drive.Space may suspend or terminate free or paid Accounts for non-payment, inactivity, or violation of these Terms.

Upon termination, Your Data may be deleted after 30 days. It is Your responsibility to retrieve Your Data before termination.

TERMS OF PAYMENT

Payments are due upon activation and renewal in accordance with Your plan. Fees are non-refundable except as required by law. Taxes and other charges are Your responsibility. Prices may change upon renewal with 30 days’ notice via email.

CHANGES TO THE SERVICE AND TERMS

Drive.Space may modify or discontinue the Services or these Terms at any time. Your continued use of the Services after modifications constitutes acceptance of the new Terms.

DISCLAIMER OF WARRANTIES

You agree that Your use of the Services is at Your sole risk. The Services are provided “as is” and “as available.” Drive.Space disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow such exclusions, so certain provisions may not apply.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Drive.Space and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages. The total liability shall not exceed $100 USD or the amount You paid in the prior twelve months, whichever is greater.

Some jurisdictions do not allow limitations of liability, so certain limitations may not apply.

THIRD-PARTY PRODUCTS

The Service may contain links to third-party websites or products. Drive.Space is not responsible for any third-party content or services. Use of third-party products is at Your own risk.

ENCRYPTION

Drive.Space storage is end-to-end encrypted by default, but encryption levels may vary by plan. You are responsible for understanding how encryption applies to Your account and for maintaining compliance with all encryption procedures.

MISCELLANEOUS

17.1 COMMENTS

You may submit comments or feedback to Drive.Space (“Comments”). By doing so, You assign all rights to Drive.Space.

17.2 CONSENT

By creating an Account, You consent to receiving information about the Services. You may opt out of marketing communications.

17.3 GOVERNING LAW AND DISPUTE RESOLUTION

If not prohibited by local law, disputes will be governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes shall be brought exclusively before the courts of Ontario, in the District of Toronto.

17.4 ENTIRE AGREEMENT

These Terms constitute the entire agreement between You and Drive.Space, except for any applicable Privacy Policies or Business Agreements.

17.5 NO THIRD-PARTY BENEFICIARIES

No third party has any rights under these Terms.

17.6 WAIVER

Failure to enforce any provision of these Terms does not constitute a waiver.

17.7 SEVERABILITY

If any provision is held invalid, the remaining provisions will continue in effect.

17.8 ASSIGNMENT

You may not assign these Terms without written consent. Drive.Space may assign its rights at any time.

17.9 INDEPENDENT CONTRACTORS

Drive.Space and You are independent contractors.

In accordance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, we will respond promptly to claims of copyright infringement committed using the Services that are reported to http://www.drive.space/contactdmca/.
